ICPO

Irrevocable Corporate Purchase Order

Buyer's binding purchase order confirming product, spec, quantity, price, payment and banking coordinates.

When to use: Trigger for the seller to issue the FCO/draft contract; also used by mandates to release procedures to end sellers.

FCO

Full Corporate Offer

Seller's binding offer: complete specification, price, Incoterms, delivery schedule, payment terms and procedures.

When to use: The definitive commercial offer the buyer countersigns before moving into contract drafting.

Non-Disclosure Agreement

Bilateral confidentiality: protects specifications, pricing, banking and end-buyer/end-seller identities.

Proof of Funds

Buyer's bank-issued confirmation of available funds sufficient to cover the transaction value.

When to use: Provided alongside the ICPO/LOI so the seller can verify the buyer is financially able before releasing procedures.

RWA

Ready, Willing & Able (RWA) Letter

Bank-issued letter confirming the buyer's bank is ready, willing and able to issue the payment instrument (LC/SBLC/MT760) on the buyer's behalf.

When to use: Standard prerequisite before the seller commits to issuing a Proof of Product or lifting the contract.

End User Certificate

Buyer's declaration of the ultimate destination and end use of the goods, signed and often notarised or chamber-attested.

When to use: Required for controlled, dual-use or sanctioned-origin commodities to satisfy export licensing and sanctions screening.

Credit Note

Seller-issued adjustment document reducing the invoice amount for short weight, off-spec quality, price allowances or returns.

When to use: Used post-shipment to reconcile the commercial invoice against inspection results, demurrage or contract price adjustments.

Debit Note

Buyer or seller issued adjustment document increasing the amount payable for additional costs, demurrage, price escalation or under-delivery penalties.

When to use: Used post-shipment to bill the counterparty for demurrage, off-spec penalties, price provisional-to-final upward adjustments or reimbursable expenses under the SPA.
