An Agency / Mandate Agreement (AMA) is executed between principal and mandate before the mandate can act. It defines scope of authority (solicit buyers, negotiate indicative terms) and what the mandate may not do (sign SPA, bind bank instruments). It sets commission entitlement as USD per MT or % of contract value, and covers exclusivity, territory, term and tails on renewals.

What is the difference between an agent and a mandate?

Both act on behalf of a principal, but a mandate has narrower authority (typically no power to sign contracts or bank instruments), while an agent may hold wider powers under an express grant. This template supports either scope.

How is mandate commission structured?

Two common models: USD per metric tonne on every shipment (bulk commodities) or a percentage of contract value. Both survive amendments to the underlying contract and apply to tails and renewals.

Should the AMA be exclusive?

Depends on the product and territory. Exclusive AMAs justify a higher commission but restrict the principal; non-exclusive is safer for principals working multiple channels. This template supports both.

Does the AMA replace an NCNDA?

No. The AMA governs the principal-mandate relationship. The NCNDA (and later IMFPA) governs the mandate's dealings with third-party counterparties.
