This NDA is a mutual (bilateral) confidentiality agreement, meaning both parties are bound to the same standard. It defines confidential information (product specs, pricing, banking coordinates, end-buyer or end-seller identities, procedures), permitted use, permitted disclosure to bankers, inspectors, insurers and counsel on a need-to-know basis, and a 3-to-5-year survival period after termination.

Is this NDA mutual or one-way?

Mutual (bilateral). Both parties disclose confidential information and both are bound to the same confidentiality standard. A one-way NDA is easy to derive by editing one of the disclosure clauses.

How long does an NDA stay in force?

This template defaults to 3 to 5 years' survival after termination. You can edit the survival period for shorter deal-specific NDAs (12 months) or longer M&A NDAs (7+ years).

Do I need an NDA before an NCNDA?

An NDA covers confidentiality only; an NCNDA adds a non-circumvention clause preventing parties from bypassing each other. In physical commodity chains most desks execute the NCNDA (or the NCNDA + IMFPA combined) directly.

Can I use this NDA outside commodity trading?

Yes. It is a general bilateral NDA suitable for procurement, technology evaluations, M&A due diligence or supplier onboarding. Adjust the definition of Confidential Information and governing law.
