Every commodity trade opens with an offer-intent handshake. This hub collects the four instruments that move a deal from first contact to signed SPA: SCO, LOI, ICPO and FCO.

Sellers publish a Soft Corporate Offer (SCO) to advertise availability, price basis and target destinations. Buyers reply with a Letter of Intent (LOI) or Irrevocable Corporate Purchase Order (ICPO) confirming banking capacity and desired volumes. Sellers then issue a Full Corporate Offer (FCO) that becomes the base for the Sales & Purchase Agreement.

Frequently asked questions

In what order are SCO, LOI, ICPO and FCO exchanged?
Seller SCO → buyer LOI or ICPO → seller FCO → SPA. The ICPO/LOI stage is where banking coordinates are shared and RWA/POF is often requested.
Are offer and intent documents legally binding?
SCO, LOI and FCO are non-binding indications of interest. ICPO is stronger because it is issued 'irrevocable', but it still becomes binding only once the SPA and payment instrument are executed.
Do I need all four documents for every trade?
No. Many desks skip SCO or FCO and move directly from LOI/ICPO to SPA. The templates cover the full ladder so counterparties who insist on each rung have a compliant format ready.
